Terms Of Service

1. Parties And Acceptance

These Terms constitute a legally binding agreement between you (“You,” “Your,” or “Customer”) and CleanTechnology, Inc., a corporation organized under the laws of the State of Arizona, doing business as CleanRouter (“CT,” “we,” “us,” or “our”), with its principal place of business at 4274 S Snowcap Ct, Gilbert, AZ 85297.

By purchasing, accessing, or using any CleanRouter product, software, service, website (cleanrouter.com), or mobile application, you agree to be bound by these Terms, our Privacy Policy], End User License Agreement (EULA)], Limited Warranty], and Acceptable Use Policy], each of which is incorporated herein by reference (collectively, the “Agreement”). If you do not agree, do not use the Products or Services and return any hardware within the return window described below.

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

  • Product means any CleanRouter-branded hardware device, including the CleanRouter V6, CleanRouter Mesh Nodes, and CleanRouter Small Business models, together with all embedded firmware and software.
  • Service means the CleanRouter internet content filtering subscription service, cloud-based management features, mobile application, activity reports, and any related online services.
  • Software means all software, firmware, and updates embedded in or delivered to the Product, including the Intellifilter AI-driven filtering engine.
  • Subscription means your paid, recurring plan for access to the Service.
  • Content means any data, text, images, or other material accessed, filtered, blocked, or displayed through use of the Product or Service.

3. Description Of Service

CleanRouter provides network-level internet content filtering designed to help families and small businesses manage and restrict access to internet content. The Service uses artificial intelligence and machine-learning-based filtering technology (“Intellifilter”), customizable content categories, device-level controls, time restrictions, safe search enforcement, and activity reporting.

YOU ACKNOWLEDGE AND AGREE THAT:

  • No internet content filter is 100% effective. Despite our best efforts, some objectionable, harmful, or inappropriate content may not be blocked, and some acceptable content may be incorrectly blocked.
  • CleanRouter is a tool to assist with internet safety, not a guarantee of safety. Parental supervision and sound judgment remain essential.
  • CT reserves the right to modify, improve, or discontinue any feature of the Service at any time, with reasonable notice when practicable.

4. Account Registration And Eligibility

Age Requirement. You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and purchase the Service. The Service is designed to be configured and managed by adults. Children and minors may use devices filtered by CleanRouter, but they are not authorized account holders.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@cleanrouter.com if you believe your account has been compromised.

Accurate Information. You agree to provide and maintain current, complete, and accurate billing and contact information.

5. Orders, Payment, And Pricing

Orders. All orders are subject to acceptance by CT. We reserve the right to refuse or cancel any order for any reason, including pricing errors, suspected fraud, or product unavailability. We are not bound by pricing, typographical, or other errors in any offer.

Payment. Payment is due at the time of purchase. By providing a payment method, you authorize CT to charge your payment method for all fees associated with your order, including applicable taxes, shipping, and handling.

Taxes. You are responsible for all applicable sales, use, and other taxes, unless you provide a valid tax exemption certificate prior to purchase.

Shipping and Delivery. Shipping and handling charges are additional unless expressly waived at the time of sale. Title and risk of loss pass to you upon delivery to the carrier at our shipping point (F.O.B. origin, Gilbert, AZ). Delivery dates are estimates only. You must report missing, wrong, or damaged shipments within thirty (30) days of the invoice date.

6. Subscription Terms And Auto-Renewal

Subscription Plans. Access to the Service requires an active Subscription. The term, pricing, and features of your Subscription are as described at the time of your purchase.

Auto-Renewal. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE SAME DURATION AS YOUR INITIAL TERM, UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. We will charge the then-current subscription price (excluding promotional or introductory pricing) to the payment method on file.

Renewal Notice. We will send you a reminder email at least thirty (30) days before each renewal date to the email address on your account, informing you of the upcoming renewal, the renewal price, and how to cancel.

How to Cancel. You may cancel your Subscription at any time through any of the following methods:

  • Online: Visit support.cleanrouter.com and follow the cancellation process
  • Email: Send a cancellation request to support@cleanrouter.com
  • Phone: Call (520) 445-HOPE (520-445-4673)

Cancellation will take effect at the end of your current billing period. You will not be charged for any renewal period following your cancellation.

Price Changes. We will provide at least thirty (30) days’ advance written notice (via email) of any price increase before your next renewal date. If you do not cancel before the renewal date after receiving such notice, you will be deemed to have accepted the new price.

7. Refund Policy

30-Day Satisfaction Guarantee. If you are not satisfied with the Product and Service, you may return the Product in its original condition and cancel the Service within thirty (30) days of original purchase for a full refund of the purchase price (excluding shipping costs). To initiate a return, contact support@cleanrouter.com.

Post-Renewal Refund. If your Subscription auto-renews and you request a refund within thirty (30) days of the renewal charge, CT will refund the full renewal subscription price.

No Partial Refunds. Except as set forth in Sections 7.1 and 7.2, all fees are nonrefundable, and no credits will be issued for partial subscription periods.

Cancellation Within First Year. If you cancel the Service within the first year and do not wish to return the Product, an early termination fee may apply as disclosed at the time of purchase.

Return Condition. Returned Products must be in original packaging, undamaged, and include all accessories. You are responsible for return shipping costs and risk of loss during return transit.

8. Software License

Use of all Software embedded in or delivered with the Product is governed by the separate CleanRouter End User License Agreement (EULA)], which is incorporated into these Terms by reference. By using the Product, you agree to the EULA.

9. Intellectual Property

Ownership. All intellectual property rights in the Products, Software, Services, and associated documentation are and remain the exclusive property of CT or its licensors. These Terms do not grant you any ownership interest in the foregoing.

Third-Party Content. The Service may reference, display, link to, or filter third-party websites and content. Title and intellectual property rights in third-party content belong to the respective content owners. CT does not endorse and is not responsible for any third-party content.

Feedback. If you provide CT with suggestions, ideas, or feedback regarding the Products or Services (“Feedback”), you grant CT a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, modify, and incorporate such Feedback without obligation to you.

10. Data Collection And Privacy

Privacy Policy. Our collection, use, and disclosure of personal information in connection with the Products and Services is governed by our Privacy Policy], which is incorporated into these Terms.

AI-Powered Filtering. The Intellifilter technology uses machine learning algorithms to classify and filter internet content. This process involves automated analysis of web content metadata and URLs. CT does not use your personal browsing data to train AI models for purposes unrelated to the filtering Service.

Activity Reports. If you enable activity reporting features, the Service will collect and process internet activity data from devices on your network for the purpose of generating reports delivered to the account holder. You are responsible for informing all users on your network that internet activity may be monitored and reported.

Children’s Data. CleanRouter is a tool used by parents and guardians. We are committed to compliance with the Children’s Online Privacy Protection Act (“COPPA”) and do not knowingly collect personal information directly from children under 13. Please see our Privacy Policy for complete details.

11. Acceptable Use

Your use of the Products and Services is subject to the Acceptable Use Policy]. You agree not to use the Products or Services to:

  • Violate any applicable law, regulation, or the rights of any third party;
  • Circumvent, disable, or interfere with the filtering or security features of the Product or Service;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
  • Resell, redistribute, sublicense, or commercially exploit the Product or Service without CT’s written consent;
  • Use the Service to harass, abuse, threaten, stalk, defame, or otherwise infringe or violate the rights of any person;
  • Transmit viruses, malware, or other harmful code through or to the Product or Service;
  • Overload, burden, or impair the proper functioning of the Service or its infrastructure.

12. Warranties And Disclaimers

Limited Warranty. CT’s limited hardware warranty is set forth in the separate CleanRouter Limited Warranty] document.

DISCLAIMER OF WARRANTIES. EXCEPT FOR THE EXPRESS LIMITED WARRANTY PROVIDED IN THE LIMITED WARRANTY DOCUMENT, THE PRODUCTS, SOFTWARE, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CT DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CT DOES NOT WARRANT THAT:

  • (a) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • (b) ALL HARMFUL OR OBJECTIONABLE CONTENT WILL BE FILTERED;
  • (c) THE PRODUCTS OR SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS;
  • (d) THE PRODUCTS OR SERVICES WILL BE COMPATIBLE WITH ALL THIRD-PARTY HARDWARE, SOFTWARE, OR SERVICES;
  • (e) DEFECTS WILL BE CORRECTED.

Content Filtering Disclaimer. YOU UNDERSTAND AND AGREE THAT DESPITE CT’S BEST EFFORTS, YOU OR USERS ON YOUR NETWORK MAY ENCOUNTER CONTENT THAT IS OFFENSIVE, INDECENT, OR OBJECTIONABLE. CT SHALL HAVE NO LIABILITY FOR ANY SUCH CONTENT. CT DOES NOT ACCEPT LIABILITY FOR DAMAGES ARISING FROM EXPOSURE TO INAPPROPRIATE CONTENT, INCLUDING BUT NOT LIMITED TO PORNOGRAPHY, OR FROM ANY ADDICTION OR BEHAVIORAL CONDITION ASSOCIATED WITH INTERNET USE.

High-Risk Activities. THE PRODUCTS AND SERVICES ARE NOT INTENDED FOR USE IN CONNECTION WITH ANY APPLICATION WHERE FAILURE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT SYSTEMS, AIR TRAFFIC CONTROL, LIFE SUPPORT SYSTEMS, OR WEAPONS SYSTEMS.

Jurisdictional Variations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, CT’S WARRANTIES ARE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation Of Liability

Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OR INABILITY TO USE THE PRODUCTS OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF CT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO CT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Essential Purpose. THE LIMITATIONS IN THIS SECTION 13 SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Jurisdictional Variations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless CT and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Products or Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or data you transmit through the Products or Services.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute Resolution And Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@cleanrouter.com and attempt to resolve the dispute informally for at least sixty (60) days.

Binding Arbitration. If we cannot resolve the dispute informally, any claim, dispute, or controversy arising out of or relating to these Terms or the Products or Services (each, a “Dispute”) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act, 9 U.S.C. sections 1-16, governs the interpretation and enforcement of this arbitration provision.

Individual Claims Only. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AND CT EACH WAIVE THE RIGHT TO: (A) BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION; (B) ACT AS A PRIVATE ATTORNEY GENERAL; OR (C) CONSOLIDATE DISPUTES WITH THOSE OF ANY OTHER PERSON. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Arbitration Procedures. The arbitration shall take place in Maricopa County, Arizona, or at another mutually agreed location. For claims of $10,000 or less, you may choose whether the arbitration proceeds in person, by telephone, or based solely on written submissions. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the court’s jurisdictional limits.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@cleanrouter.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

Severability of Arbitration Provision. If the class action waiver in Section 16.3 is found to be unenforceable, then the entirety of this arbitration provision shall be null and void. If any other provision of this Section 16 is found to be unenforceable, the remaining provisions shall remain in full force.

17. Export Compliance

The Products and Software may be subject to U.S. export control laws, including the Export Administration Regulations, and trade sanctions administered by the Office of Foreign Assets Control (“OFAC”). You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, or a resident or national of, any country subject to a U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.

18. Government End Users

The Software and documentation are “commercial items” as defined at 48 C.F.R. section 2.101 and “commercial computer software” and “commercial computer software documentation” as defined at 48 C.F.R. section 12.212. Government end users acquire the Software and documentation with only the rights set forth in these Terms.

19. Termination

By You. You may terminate these Terms at any time by canceling your Subscription and ceasing use of the Products and Services.

By CT. CT may suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, upon notice to you. CT will provide reasonable notice when practicable, except where immediate termination is necessary to protect CT, other users, or comply with law.

Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections 9, 12, 13, 14, 15, 16, and 20 survive termination.

20. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, EULA, Limited Warranty, and Acceptable Use Policy, constitute the entire agreement between you and CT regarding the subject matter hereof, and supersede all prior or contemporaneous agreements, understandings, and communications.

Amendments. CT may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where required by law, by email. Your continued use of the Products or Services after the effective date of any update constitutes your acceptance of the revised Terms.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of CT to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without CT’s prior written consent. CT may assign these Terms without restriction.

Force Majeure. CT shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, pandemics, war, terrorism, labor disputes, internet or telecommunications failures, or cyberattacks.

Notices. Notices to CT should be sent to: legal@cleanrouter.com or CleanTechnology, Inc., 4274 S Snowcap Ct, Gilbert, AZ 85297. Notices to you will be sent to the email address associated with your account.

Electronic Communications. By using the Products or Services, you consent to receive communications from CT electronically, including via email, push notifications, and postings on our website. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
