License Agreement
PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY BEFORE USING ANY CLEANROUTER SOFTWARE. BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE AND RETURN THE PRODUCT WITHIN THIRTY (30) DAYS OF PURCHASE FOR A FULL REFUND.
1. Parties
2. Definitions
- Software: means all software, firmware, and code embedded in or delivered with any CleanRouter Product, including the Intellifilter AI-powered filtering engine, mobile application, cloud management interface, and all updates, upgrades, patches, bug fixes, and new versions thereof.
- Product: means the CleanRouter hardware device in which the Software is embedded.
- Documentation: means the user guides, help files, and other materials provided by CT regarding the Software.
- Update: means any update, upgrade, patch, hotfix, or new version of the Software that CT makes available to you.
3. License Grant
Grant. Subject to the terms of this EULA and your compliance with the Terms of Service, CT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software solely as embedded in and in conjunction with the CleanRouter Product you purchased, for your personal, non-commercial use (or internal business use if you purchased a CleanRouter Small Business model).
Scope. This license permits you to:
- Use the Software on the single Product in which it is embedded;
- Use the mobile application and cloud management interface associated with your account;
- Receive and install Updates made available by CT.
Restrictions. You may NOT:
- Copy, modify, adapt, translate, or create derivative works of the Software;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or any rights therein to any third party;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software or Documentation;
- Use the Software on any device other than the Product with which it was provided;
- Use the Software to develop a competing product or service;
- Use the Software in any manner that violates applicable law or the Terms of Service.
4. Ownership And Intellectual Property
No Sale. The Software is licensed, not sold. CT and its suppliers retain all right, title, and interest in and to the Software and Documentation, including all intellectual property rights therein.
Trade Secrets. The Software contains trade secrets and confidential information of CT and its suppliers. You agree not to disclose, publish, or disseminate the Software or any information derived from it to any third party.
Third-Party Components. The Software may include open-source or third-party software components, each of which is subject to its own license terms. A list of such components and their applicable licenses is available at www.cleanrouter.com/opensource. To the extent that any open-source license terms conflict with this EULA, the open-source license terms shall prevail solely with respect to that component.
Third-Party Content. Content accessed, displayed, or filtered through the Software belongs to the respective content owners. This EULA does not grant you any rights to third-party content.
5. Updates And Modifications
Automatic Updates. The Software may automatically download and install Updates from CT without additional notice. You consent to such automatic Updates as a condition of this license. Updates are intended to improve, enhance, and further develop the Software.
License to Updates. All Updates are subject to this EULA unless accompanied by a separate license agreement, in which case the separate license shall govern.
Single Version. If an Update completely replaces a prior version of the Software, you may not continue to use the prior version.
Connectivity Required. Certain features of the Software require an active internet connection and an active Subscription. CT is not responsible for any limitations in functionality that arise from connectivity issues.
6. Data Collection And Processing
Technical Data. The Software collects technical and diagnostic data, including device information, firmware version, network configuration, performance metrics, and error logs, to provide the Service, deliver Updates, and improve our Products.
Filtering Data. The Software processes internet traffic data (URLs, domain names, content metadata) to perform content filtering. This data is processed in accordance with our Privacy Policy.
AI Processing. The Intellifilter engine uses machine learning to classify web content. Automated content classification decisions are made locally on the device and/or via CT’s cloud infrastructure. CT does not use individual customer browsing data to train commercial AI models for unrelated purposes.
Privacy. All collection and processing of personal information through the Software is governed by our Privacy Policy, available at www.cleanrouter.com/privacy.
7. Term And Termination
Term. This EULA is effective from the date you first use the Software and continues until terminated.
Termination by You. You may terminate this EULA at any time by ceasing all use of the Software and, if applicable, returning or destroying the Product.
Termination by CT. CT may terminate this EULA immediately upon notice if you breach any term hereof. Your license also terminates automatically upon expiration or termination of your Subscription, unless the Software includes offline functionality that does not require a Subscription.
Effect of Termination. Upon termination, you must cease all use of the Software. Sections 4, 8, 9, 10, 11, and 12 survive termination.
8. Disclaimer Of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
CT DOES NOT WARRANT THAT:
- THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- THE SOFTWARE WILL BLOCK ALL HARMFUL OR OBJECTIONABLE CONTENT;
- THE SOFTWARE WILL BE COMPATIBLE WITH ALL THIRD-PARTY SOFTWARE, HARDWARE, OR NETWORKS;
- DEFECTS IN THE SOFTWARE WILL BE CORRECTED;
- THE SOFTWARE OR ANY NETWORK ON WHICH THE PRODUCT OPERATES WILL BE FREE FROM VULNERABILITY TO INTRUSION OR ATTACK.
THE SOFTWARE IS NOT INTENDED FOR USE IN HIGH-RISK ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, INCLUDING NUCLEAR FACILITIES, AIRCRAFT SYSTEMS, LIFE SUPPORT SYSTEMS, OR WEAPONS SYSTEMS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
9. Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CT, ITS AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS EULA OR THE USE OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CT’S TOTAL AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT IN WHICH THE SOFTWARE IS EMBEDDED.
THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. Export Compliance
The Software may be subject to U.S. export control laws, including the Export Administration Regulations and OFAC sanctions. You agree to comply with all applicable export and import laws and regulations and represent that you are not located in, or a national of, any country subject to a U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.
11. Government End Users
The Software and Documentation are “commercial items” and “commercial computer software” as defined at 48 C.F.R. sections 2.101 and 12.212. Government end users acquire the Software with only the rights set forth in this EULA.
12. General
Governing Law. This EULA shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Dispute Resolution. Any disputes arising under this EULA are subject to the dispute resolution and binding arbitration provisions set forth in the CleanRouter Terms of Service.
Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and CT regarding the Software and supersedes all prior or contemporaneous communications regarding the same.
Severability. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
Waiver. The failure of CT to exercise any right under this EULA shall not constitute a waiver of that right.
Assignment. You may not assign or transfer this EULA without CT’s prior written consent. CT may assign this EULA without restriction.
Language. This EULA is written in English. Any translation is for convenience only; the English version shall prevail in the event of any conflict.
